Sell-Side Advisory

Sell Your Business in Iowa

LegacyOne helps Iowa business owners sell confidentially and for full value. We price your business on real earnings, market it only to verified buyers, and manage negotiation and closing so you can keep running the company.

Our six-step sell-side process

  1. Confidential consultation: goals, timing and what you want for your employees and customers.
  2. Strategic valuation analysis: a no-charge valuation based on SDE or EBITDA.
  3. Confidential marketing and preparation: an anonymous listing and a confidential information memorandum.
  4. Qualified buyer screening: NDA and personal financial statement before anything sensitive is shared.
  5. Offer negotiation and deal structuring: price, terms, seller financing and transition.
  6. Due diligence and closing coordination: managing buyer requests, lenders, attorneys and CPAs through close.

What it costs to find out what your business is worth

Nothing. We provide a business valuation at no charge. You will see how buyers will value your business, which earnings measure applies, and what would move the number before you decide whether to sell.

SDE or EBITDA: which applies to you

Most Iowa businesses valued under roughly $2–5 million are priced on Seller’s Discretionary Earnings (SDE), which adds back one owner’s salary and benefits. Larger companies with management in place are usually priced on EBITDA. The two use different multiples, so using the wrong one is one of the most common pricing mistakes. Try our SDE and EBITDA calculator.

Frequently asked questions

How long does it take to sell a business in Iowa?

Most small business sales take several months to a year from listing to closing. Timing depends on price, industry, how clean the financials are, and how quickly the buyer’s financing is approved.

How do you keep my sale confidential?

Listings never use your business name. Buyers sign a non-disclosure agreement and provide a personal financial statement before receiving your confidential information memorandum or financials.

Does a business valuation cost anything?

No. LegacyOne provides a business valuation at no charge to owners considering a sale.

Who buys Iowa businesses?

Individual buyers, competitors and strategic acquirers, private equity and investment groups, and buyers relocating from other states. We market to buyers across the US and Canada.
